Exhibitor Terms & Conditions
By registering for and participating in the Carolina Wedding Show (“Event”), the exhibitor (“Exhibitor”) agrees to be legally bound by the following Terms & Conditions (“Agreement”). If Exhibitor does not agree, Exhibitor must not register or participate.
1. Event Producer & Authority
The Carolina Wedding Show (“Producer”) retains sole and absolute discretion over all aspects of the Event, including but not limited to planning, scheduling, layout, operations, safety decisions, and enforcement of these Terms & Conditions. All decisions by the Producer are final.
2. Booth Space & Assignment
Booth space is assigned at the sole discretion of the Producer. The Producer may modify booth assignments, floor plans, or exhibitor placement at any time for operational, safety, or logistical reasons. Booth sharing, subleasing, or co-exhibiting is strictly prohibited without prior written consent. Only the registered business may be promoted or represented.
3. Payment, Fees & Confirmation
All exhibitor fees are non-refundable and non-transferable. Booth space is not confirmed until payment is received in full. Failure to remit payment by the stated deadline may result in immediate cancellation without refund or notice.
4. Cancellation by Exhibitor
If Exhibitor cancels participation for any reason, including but not limited to weather concerns, travel issues, business hardship, illness, or dissatisfaction, no refunds, credits, or transfers will be issued under any circumstances.
5. Event Cancellation, Postponement, Delay, or Modification (Force Majeure)
The Producer shall not be liable for failure to perform, cancellation, postponement, delay, relocation, or modification of the Event due to circumstances beyond its reasonable control, including but not limited to:
• severe or inclement weather
• natural disasters or acts of God
• venue closure or facility limitations
• government orders, advisories, or restrictions
• public safety concerns
• transportation or travel disruptions
• labor disputes, power outages, or emergencies
In such cases:
• No refunds shall be owed
• Credits, if any, are offered solely at the Producer’s discretion and are not guaranteed
• Exhibitor assumes all risk and expense related to participation
• Event dates, times, and locations may be modified or rescheduled due to circumstances beyond our control, including but not limited to weather, venue availability, or safety considerations.
6. No Guarantee of Attendance, Results, or Performance
The Producer makes no guarantees regarding attendance, consumer turnout, leads, sales, revenue, marketing exposure, or exhibitor performance. Exhibitor expressly waives any claims related to perceived or actual lack of attendance or return on investment.
7. Decision Authority
The Producer retains exclusive authority to determine whether the Event will proceed, be modified, delayed, relocated, or canceled. Exhibitor acknowledges and agrees that these determinations are final and not subject to dispute.
8. Load-In, Load-Out & Staffing
Exhibitors must adhere strictly to published load-in and load-out schedules. Early teardown or abandonment of booth space is prohibited and may result in exclusion from future events. Booths must be staffed during all public Event hours.
9. Conduct, Displays & Removal
Exhibitors must conduct themselves professionally at all times. The Producer reserves the right to remove any Exhibitor engaging in unsafe, disruptive, misleading, or unprofessional behavior without refund or compensation.
10. Assumption of Risk & Release of Liability
Exhibitor voluntarily assumes all risks associated with participation in the Event. To the fullest extent permitted by law, Exhibitor releases, waives, and discharges the Producer, venue, sponsors, partners, employees, and agents from any and all claims, damages, losses, or liabilities arising from participation in the Event.
11. Indemnification
Exhibitor agrees to indemnify, defend, and hold harmless the Producer, venue, and affiliated parties from any and all claims, damages, losses, liabilities, costs, or expenses (including attorneys’ fees) arising from Exhibitor’s participation, conduct, materials, or breach of this Agreement.
12. Limitation of Liability
To the maximum extent permitted by law, the Producer’s total liability to Exhibitor for any claim shall not exceed the total amount of exhibitor fees actually paid. In no event shall the Producer be liable for indirect, incidental, consequential, or punitive damages.
13. Chargebacks & Payment Disputes
Exhibitor agrees not to initiate chargebacks or payment disputes. Any chargeback initiated in violation of this Agreement constitutes a material breach, and Exhibitor shall be responsible for all resulting fees, costs, and collection expenses.
14. Insurance
Exhibitor participates at its own risk and is responsible for maintaining appropriate insurance coverage. The Producer is not responsible for loss, theft, or damage to Exhibitor property.
15. Marketing & Intellectual Property
Exhibitor grants the Producer a perpetual, royalty-free license to use Exhibitor’s name, logo, likeness, and images for Event promotion and marketing. Inclusion in promotional materials is not guaranteed.
16. No Reliance
Exhibitor acknowledges that no oral or written representations outside this Agreement have been relied upon in deciding to participate.
17. Governing Law & Venue
This Agreement shall be governed by the laws of the State of North Carolina. Any legal action shall be brought exclusively in the appropriate courts located in North Carolina.
18. Severability
If any provision of this Agreement is deemed unenforceable, the remaining provisions shall remain in full force and effect.
19. Survival
All provisions relating to payment obligations, liability limitations, indemnification, and dispute resolution shall survive the conclusion of the Event.
20. Acceptance
By registering and submitting payment, Exhibitor acknowledges that they have read, understood, and agreed to these Terms & Conditions in full.
